Gerri’s Place is a new non-profit organisation providing affordable wellbeing breaks for people who need time and space to focus on their emotional and mental wellbeing. We cater for people experiencing mild depression, anxiety, stress or burnout by providing access to a range of therapeutic activities in a safe and supportive environment.
The company secretary will work alongside the chairperson and other members of the Board to ensure Gerri’s Place maintains effective administration and compliance with relevant regulations and codes, by taking responsibility for:
- Administrative support before, during & after board and general meetings
- Keeping the company’s minutes of board and general meetings
- Familiarity with the organisation’s governing documents and regulatory requirements
- Submitting statutory filings
- Co-signing and certifying of statements and/or legal declarations
- Maintaining and making available for inspection, the company’s registers
- Providing the board with legal and administrative support
- Publishing statutory notices
Desirable experience, qualities & skills
- Experience in a Company Secretary role is desirable but not essential
- Legal, management and/or governance experience is desirable but not essential
- Strong organisational and communication skills
- Commitment to all legal and fiduciary responsibilities, ensuring compliance with statutory obligations and ensuring best practice in corporate governance
Time Commitment
- 4-6 board meetings a year (evenings, mostly virtual with 1 or 2 in-person meetings in Dublin)
- 4-6 hours a month communicating with the team and carrying out the other responsibilities above
